Client is engaging Anbrain Technologies, as an independent contractor for the website development, deployment,hosting, & support.
Fees to Anbrain Technologies are due in accordance with the above-listed pricing table. All payments will be made in Indian Rupees.
Anbrain Technologies and client must work together to complete the project in a timely manner.
Anbrain Technologies agrees to work expeditiously to complete the project no later than the launch date (depending on the date of acceptance of agreement).
Anbrain Technologies reserves the right to assign subcontractors to this project to ensure the right fit for the job as well as on-time completion.
Anbrain Technologies warrants that the functions contained in this project will meet client requirements and that the operation will be reasonably error-free. The entire risk as to the quality and performance of the project is with client. In no event will Anbrain Technologies be liable to client or any third party for any damages, including any lost profits, lost savings, or other incidental, consequential or special damages arising out of the operation of or inability to operate the website, even if Anbrain Technologies has been advised of the possibility of such damages.
If any provision of this agreement shall be unlawful, void, or for any reason is unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
Client represents to Anbrain Technologies and unconditionally guarantees that any elements furnished to Anbrain Technologies. for inclusion in the project are owned by client, or that client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Anbrain Technologies and its subcontractors from any claim or suit arising from the use of such elements furnished by client.
Anbrain Technologies guarantees that all aspects of the design and construction of the project will be disclosed to Your Company upon completion, and full code, copyrights, and ownership will be the sole property of client. Anbrain Technologies retains the right to display graphics and other design elements as examples of its work in its portfolio.
The agreement contained in this Contract constitutes the sole agreement between vendor and client regarding this project. Any additional work not specified in this contract must be authorized by a written change order
